These Terms and Conditions (“Terms”) form a binding agreement between you (“User”, “you”) and iTechNets (“we”, “us”, “our”) for use of itechnets.com and Services. By accessing, registering, or enrolling, you agree.

1. Eligibility and Account

You must be 18+ or have guardian consent. Accurate information is required. One account per person is permitted. We may suspend or terminate for violations.

2. Services and Course Content

We grant a limited, non-exclusive, non-transferable, revocable license for personal use during enrollment period. Content (videos, labs, materials, quizzes) is owned by us or licensors and protected by copyright. Prohibited actions include recording, sharing, reverse-engineering, commercial use, and plagiarism in submissions.

3. Payments and Billing

Fees are in (USD/PKR/other) and due upfront. Third-party processors handle payments. You authorize charges. Taxes are your responsibility. No refunds except per Refund Policy.

4. User Conduct and Obligations

You must comply with laws. No harassment, spam, cheating, or IP infringement is allowed. We may remove content violating rules.

5. Intellectual Property

All rights are reserved. User-generated content (e.g., forum posts) grants us a worldwide license to use and display it.

6. Limitation of Liability

6.1 General Disclaimer

The Services, content, courses, labs, materials, certificates, and any related items are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, or reliability. We do not warrant that the Services will be uninterrupted, error-free, secure, virus-free, or that defects will be corrected.

6.2 Exclusion of Certain Damages

To the maximum extent permitted by applicable law (including Pakistan consumer laws, EU/UK consumer rights, US state laws), in no event shall iTechNets, its affiliates, officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, punitive, exemplary, or aggravated damages, including but not limited to:  

• loss of profits, revenue, business, savings, goodwill, or anticipated savings;
• loss or corruption of data, programs, or information;
• business interruption, downtime, or loss of use;
• personal injury or property damage (unless caused by our gross negligence);
• cost of substitute goods/services;
• any damages arising from viruses, malware, or unauthorized access (even if advised of possibility).  

This exclusion applies regardless of the legal theory (contract, tort, negligence, strict liability, breach of statutory duty, or otherwise).

6.3 Liability Cap

Subject to Section 6.4 below, our total aggregate liability arising out of or related to these Terms, your use of the Services, or any course/enrollment (whether in contract, tort, or otherwise) shall not exceed the greater of:  

• the total fees paid by you to us for the specific course or services giving rise to the claim in the 12 months immediately preceding the event; or
• USD $50 (or equivalent in PKR).  

6.4 Carve-Outs (Exceptions)

The above limitations and exclusions do not apply to:  

• death or personal injury caused by our negligence or willful misconduct;
• fraud, fraudulent misrepresentation, or gross negligence;
• breach of our confidentiality obligations or intellectual property infringement claims against you;
• indemnification obligations under these Terms;
• any liability that cannot be excluded/limited under applicable law (e.g., mandatory consumer protections in Pakistan, EU/UK, or California).  

6.5 Basis of the Bargain

The limitations in this section are fundamental elements of the basis of the bargain between you and us and apply even if a remedy fails its essential purpose.

7. Indemnification

You indemnify us against claims from your breach, misuse, or User Content.

8. Termination

We may terminate or suspend access anytime for cause (no refund) or convenience (pro-rated refund possible). Upon termination, access ends.

9. Dispute Resolution and Arbitration  

9.1 Informal Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your enrollment, or breach/termination thereof (a “Dispute”) shall first be attempted to be resolved informally. Contact support@itechnets.com with details. We will respond within 30 days to negotiate in good faith.

9.2 Binding Arbitration (Mandatory for Most Users)

If informal resolution fails, except where prohibited by law (e.g., certain consumer rights in EU/UK or small claims), any remaining Dispute shall be finally and exclusively resolved by binding arbitration (not court litigation or jury trial).  

• Administered by: (e.g., Lahore Centre for International Commercial Arbitration or International Centre for Dispute Resolution (ICDR) in accordance with its International Arbitration Rules – finalize with legal counsel).
• Seat/Place of Arbitration: Lahore, Punjab, Pakistan (or neutral if mutually agreed).
• Number of Arbitrators: One (unless amount exceeds USD $50,000, then three).
• Language: English.
• Governing Rules: Substantive law of Pakistan. Procedural rules per chosen institution.
• The arbitrator(s) shall have exclusive authority to resolve arbitrability issues, including enforceability of this clause.
• No class actions, consolidated proceedings, or representative actions are permitted. Disputes must be individual. You waive any right to participate in class/collective actions.
• Award is final and binding. It is enforceable in any court of competent jurisdiction.  

9.3 Exceptions to Arbitration

• Small claims court actions (if qualifying under local rules).
• Injunctive/equitable relief for IP infringement or misuse of Services.
• EU/UK users: Statutory rights to court access/venue in home country where mandatory.

9.4 Governing Law

These Terms are governed by laws of Pakistan, without regard to conflict of laws principles. For international users, mandatory local consumer protections apply where they cannot be waived.

10. Changes to Terms

We may amend these Terms and post updates. Material changes will be notified (email/site). Continued use constitutes acceptance.

11. Miscellaneous

Severability, no waiver, entire agreement, force majeure, assignment rights.
